Website User Agreement

This Website User Agreement along with the Disclaimer (available at http://www.supremefincorp.com) and Privacy Policy (available at http://www.supremefincorp.com) (collectively hereinafter referred to as the “Agreement”) lays out the terms and conditions and rules, as may be amended and supplemented from time to time (“Terms”) which shall be applicable to the access and use of the Website of Supreme Fincorp Private Limited (hereinafter referred to as “Supreme Fincorp Private Limited”) i.e. http://www.supremefincorp.com and various other URLs channelized through http://www.supremefincorp.com (“Website”) by you, the visitor/ user (“User”) of the Website.

1. Acceptance of terms and modification thereof

This Agreement constitutes a binding contract between User and Supreme Fincorp Private Limited, with regard to the access and use of the Website. Access of the Website by the User constitutes an acknowledgement and acceptance in full and without any modification and/or exception by the User of this Agreement. If the User does not agree with any part of such terms, conditions and notices as stated in this Agreement in any manner, the User must not access the Website.
Supreme Fincorp Private Limited reserves the right to change the terms, conditions and notices pursuant to which the Website is accessed by the User or any services (hereinafter referred to as “Services”) that are offered through the Website, without any notice or intimation of such change. The User shall be responsible for regularly reviewing the terms and conditions of this Agreement. Changes to this Agreement will be effective when posted and the User agrees to review this Agreement periodically to become aware of any changes.
The User agrees that this Agreement forms a valid contract between the User and Supreme Fincorp Private Limited, and that Supreme Fincorp Private Limited may, at its sole discretion, amend any of the use or Services being provided by it vide the Website and/or this Agreement either wholly or partially, at any time and without the requirement of any prior notice or consent.
The User’s use of certain Services, features, functionality or programs (including, without limitation, contests, sweepstakes, promotions, wireless marketing opportunities, RSS feeds, etc.) offered on or through the Website may be subject to additional terms and conditions (hereinafter referred to as “Rules”), and before the User uses any such Services, features, functionality or other programs he would be deemed to have accepted such additional Rules upon the use of such Services or the Website in any manner.
The User expressly agrees that he will be deemed to have consented to the disclosure of any data, information of the User to, and same is used by Supreme Fincorp Private Limited, a subsequent owner or operator of the Website, of any information about the User contained in the applicable Supreme Fincorp Private Limited database, to the extent Supreme Fincorp Private Limited assigns its rights and obligations regarding such information in connection with a merger, acquisition, or sale of all or substantially all of Supreme Fincorp Private Limited’s assets, or in connection with a merger, acquisition or sale of all or substantially all of the assets related to this particular Website to a subsequent owner or operator.
In the event of such a merger, acquisition, or sale, the User’s continued use of the Website signifies the User’s agreement to be bound by the terms of use, Website User Agreement, Privacy Policy and Disclaimer or otherwise of the Website’s subsequent owner or operator. Supreme Fincorp Private Limited reserves the right, in its sole discretion, to terminate the access to the Website and/or any of the Services or any portion thereof at any time, without any prior notice.
The headings and subheadings herein are included for convenience and identification only and are not intended to describe, interpret, define or limit the scope, extent or intent of this Agreement or the right to use the Website by the User as contained herein or any other section or pages of the Website in any manner whatsoever.
The User “uses” the Website anytime he accesses, views, links to or from, or otherwise interacts or communicates with or connects to, the Website (or any parts thereof) or interacts or communicates with other Users through the Website (including, without limitation, on message boards, chat rooms and/or other communities established on the Website if any).
The terms and conditions herein shall apply equally to both the singular and plural form of the terms defined. Whenever the context may require, any pronoun shall include the corresponding masculine and feminine. The words “include”, “includes” and “including” shall be deemed to be followed by the phrase “without limitation”. Unless the context otherwise requires, the terms “herein”, “hereof”, “hereto”, “hereunder” and words of similar import refer to this Agreement as a whole.

2. Limited User

The User agrees that given the nature of the Internet, even though the Website is targeted to Indian Residents, Non-Resident Indian (NRI), and Person of Indian Origin (PIO) only, it may be accessed in other parts of the world. The material/information on the Website is not intended for use by persons located in, or residents in countries that restrict the distribution of such material/information or by any person in any jurisdiction where distribution or use of such material/information or usage or access of Website will be contrary to law or any regulation.
It shall be the responsibility of every User to be aware of and fully observe the applicable laws and regulations of the jurisdiction which the User is subject to. If the User is not an Indian resident, NRI or PIO and yet uses the Website, he acknowledges, understands and agrees that he is doing so on his own initiative and at his own risk and Supreme Fincorp Private Limited shall not be liable for violation/breach of any of the laws applicable to usage of the Website.
The Website is not to be and should not be construed as purporting to offer or inviting to offer any information or services to residents of countries where Supreme Fincorp Private Limited is not licensed or authorized to perform its business activities.
If the User is not an Indian resident, by using this Website and/or submitting his personally identifiable information or any other information on the Website, he expressly consents to the transfer of such data to India, and to the processing of such data on Supreme Fincorp Private Limited’s Indian servers, where his data will be governed by Indian laws that may provide a level of data protection different than his country.
The User agrees and undertakes not to sell, trade or resell or exploit for any commercial purposes, any portion of the Services. For the removal of doubt, it is clarified that the Services, including the use of the Website, is not for commercial use but is specifically meant for personal use only of the User.
Limited reproduction and copying of some of the content of the Website is permitted for the User unless otherwise prohibited by Supreme Fincorp Private Limited. For the content which is prohibited by Supreme Fincorp Private Limited, the prior written consent of Supreme Fincorp Private Limited is required to be obtained by the User.
For the removal of doubt, it is clarified that unlimited or wholesale reproduction, copying of the content for commercial or non-commercial purposes and unwarranted modification of data and information within the content of the Website is strictly not permitted.

3. Disclaimer of Warranties

Supreme Fincorp Private Limited has endeavored to ensure that all the information provided by it on this Website is correct, but Supreme Fincorp Private Limited neither warrants nor makes any representations regarding the quality, accuracy or completeness of any data or information displayed on this Website and Supreme Fincorp Private Limited shall not be in any manner liable for inaccuracy/error if any.
Supreme Fincorp Private Limited makes no warranty, express or implied, concerning the Website and/or its contents and disclaims all warranties of fitness for a particular purpose and warranties of merchantability in respect of information displayed and communicated through or on the Website, including any liability, responsibility or any other claim, whatsoever, in respect of any loss, whether direct or consequential, to any User or any other person, arising out of or from the use of any such information as is displayed or communicated through or on the Website or the provision of the Services.
Although Supreme Fincorp Private Limited makes commercial efforts, reasonable or otherwise, to ensure that the description and content of the information displayed or communicated to the User on each page of the Website is correct, it does not, however, take responsibility for changes that may have occurred due to human or data entry errors or for any loss or damages suffered by any User due to any such changed information.

Further, Supreme Fincorp Private Limited shall not be held responsible for non-availability of the Website during periodic maintenance operations or any unplanned suspension of access to the Website and/or the Services that may occur due to technical reasons or for any other reason whatsoever.
The User understands and agrees that any material and/or data downloaded or otherwise obtained from Supreme Fincorp Private Limited through the Website is done entirely at his discretion and risk and he will be solely responsible for any damage to his computer systems or any other loss that results from such material and/or data.
These limitations, disclaimer of warranties and exclusions apply without regard to whether the damages arise from

  • Any other cause of action, to the extent such exclusion and limitations are not prohibited by applicable law.

4. Refunds and Chargeback

Subject to the sub-clause below, if any amount is payable by the User to Supreme Fincorp Private Limited for any services offered or otherwise at any given point in time, in the event a request made by the User is not a valid request, or if it is rejected by Supreme Fincorp Private Limited for any reason whatsoever, the User agrees to pay to Supreme Fincorp Private Limited processing charges and Supreme Fincorp Private Limited shall refund such amounts as may be decided by Supreme Fincorp Private Limited in its sole discretion from time to time.
Any refund or chargeback shall be made in accordance with the terms and conditions of the relevant service provider providing the payment gateway and other related services.

5. Links to Third Party Sites

The Website may contain links to other websites or may contain features of any nature of other websites on the Website (“Linked Sites”). The Linked Sites are not under the control of Supreme Fincorp Private Limited and Supreme Fincorp Private Limited is not responsible for the contents of any Linked Site, including without limitation any link or advertisement contained in a Linked Site, or any changes or updates to a Linked Site.
Supreme Fincorp Private Limited is not responsible for any form of transmission, whatsoever, received by the User from any Linked Site. Supreme Fincorp Private Limited is providing these links to the User only as a convenience, and the inclusion of any link does not imply endorsement of any nature by Supreme Fincorp Private Limited of the Linked Sites or any association with its operators or owners including the legal heirs or assigns thereof.
Supreme Fincorp Private Limited does not endorse any advertiser on any Linked Site in any manner. The User is requested to verify the accuracy of all information on his own before undertaking any reliance on such information.

6. Use of Communication Services

The Website may contain services such as email, chat, bulletin board services, news groups, forums, communities, personal web pages, calendars, and/or other message systems (“Communication Services”). The User agrees and undertakes to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service.
The User agrees that when using the Communication Service, he will not:
  • Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of others;
  • Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful material or information;
  • Upload files that contain viruses, corrupted files, or any other software that may damage the operation of the Website or another’s computer;
  • Conduct or forward surveys, contests, pyramid schemes or chain letters;
  • Download any file posted by another user that the User knows cannot be legally distributed in such manner;
  • Falsify or delete any author attributions or legal notices;
  • Violate any code of conduct or guidelines applicable to any particular Communication Service;
  • Violate any applicable laws or regulations;
  • Violate the terms and conditions of this Agreement.
  • Supreme Fincorp Private Limited reserves the right to terminate the User’s access to any or all Communication Services at any time without notice for any reason whatsoever.

7. User’s Obligation

The User agrees to not use the Website for any unlawful purpose, including (but not limited to) posting, transmitting or otherwise publishing any material that violates any applicable law, is defamatory, invasive of privacy, obscene, pornographic, or threatening.
The User shall not interfere with the operation of the Website or hinder access to the Website by others. The User will ensure that any information provided during registration or any time thereafter is true, accurate and complete.
The User agrees and confirms that he is of legal age to enter into a binding contract and is not a person barred from accessing and using the Website under the laws of India or other applicable law.

8. Registration Process for User

Registration of the User on the Website is optional. If the User opts to register on the Website, upon completion of the registration process, the User shall receive a User ID and password.
The User agrees and undertakes to:
  • Be responsible for maintaining the confidentiality of the password and User ID,
  • Be fully responsible for all activities that occur using such password or User ID,
  • Not use any other party’s User ID and password without proper authorization.
The User is responsible for the security of his password and for all transactions undertaken using his password. The password entered by the User is transmitted in a one-way encrypted form to Supreme Fincorp Private Limited’s database and stored as such. Thus, the password will not be known even to Supreme Fincorp Private Limited.
Supreme Fincorp Private Limited shall not be responsible for any financial loss or inconvenience resulting from misuse of the User ID/password/account details. The User also agrees to immediately notify Supreme Fincorp Private Limited of any unauthorized use of the User’s ID or password.
If the User provides any information that is untrue, inaccurate, not current, or incomplete, or Supreme Fincorp Private Limited has reasonable grounds to suspect that such information is false, Supreme Fincorp Private Limited has the right to suspend or terminate the User’s registration and refuse any and all future use of the Website and/or Services.
Furthermore, the User grants Supreme Fincorp Private Limited the right to disclose Registration Data to third parties, as necessary, for the purpose of providing Services.

9. Confidentiality Clause

Both parties agree to keep all data, information, and terms of this Agreement (“Confidential Information”) confidential and shall not disclose such information without prior written consent of the other party.
Confidential Information may, however, be disclosed:
  • Pursuant to an order of a court or governmental authority,
  • As necessary in performance of this Agreement by Supreme Fincorp Private Limited,
  • If the Confidential Information is obtained independently from a third party.

10. Breach

Without prejudice to other remedies available, Supreme Fincorp Private Limited may:
  • Limit the User’s activity,
  • Warn other Users of the User’s actions,
  • Immediately or indefinitely suspend or terminate the User’s registration,
  • Refuse to provide the User access to the Website or Services, if:
  • The User breaches this Agreement or any referenced documents,
  • Supreme Fincorp Private Limited is unable to verify or authenticate any information provided,
  • Supreme Fincorp Private Limited believes that the User’s actions may infringe any third-party rights or breach any applicable law.
Suspended Users may not use the Website in any manner until reinstated by Supreme Fincorp Private Limited. Supreme Fincorp Private Limited reserves the right to recover any dues and pursue legal action as deemed necessary.

11. License and Proprietary Rights

Subject to this Agreement, Supreme Fincorp Private Limited grants the User the limited, revocable, non-exclusive, non-transferable, royalty-free rights to:
  • Access, view, and use the Website for personal, lawful use,
  • Register for and use interactive services such as forums or messaging (if available),
  • Use available sharing tools provided by the Website.
  • All content on the Website is the intellectual property of Supreme Fincorp Private Limited or its licensors and is protected by applicable Indian and international copyright and intellectual property laws. The User may not:
  • Copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or content,
  • Modify or use any Website content without prior written consent,
  • Upload any content that infringes intellectual property rights.
  • Unauthorized use may result in civil and/or criminal penalties.

12. Limitation of Liability and Injunctive Relief

To the extent permitted by law, Supreme Fincorp Private Limited and its officers, employees, directors, shareholders, agents, or licensors shall not be liable for:
  • Any direct, indirect, incidental, special, consequential, or exemplary damages,
  • Any damages for loss of profits, goodwill, data, or other intangible losses, Arising out of the User’s use of or inability to use the Website or Services.
The User hereby irrevocably waives any right to seek injunctive or other equitable relief to restrain or interfere with the production, promotion, or distribution of any services, content, or advertisements by Supreme Fincorp Private Limited.

13. Relationship

None of the provisions of this Agreement, terms and conditions, notices or the right to use the Website by the User shall be deemed to constitute a partnership between the User and Supreme Fincorp Private Limited.
No party shall have any authority to bind or shall be deemed to be the agent of the other in any way. Use of the Website does not create any joint venture, partnership, employment or agency relationship between the User and Supreme Fincorp Private Limited.

14. Indemnification

The User agrees to indemnify, defend and hold harmless Supreme Fincorp Private Limited and its directors, officers, employees, agents, third-party service providers, and any other entity associated with it, from and against any and all losses, liabilities, claims, damages, costs and expenses (including legal fees and disbursements) arising out of:
  • Breach of this Agreement by the User,
  • Misuse of the Website or Services,
  • Any violation of applicable laws or rights of a third party.
This indemnity obligation shall survive the termination or expiry of this Agreement.

15. Severability

If any provision of this Agreement is held to be invalid or unenforceable in whole or in part, then:
  • Only that specific provision or part of it will be ineffective,
  • The rest of the Agreement will continue in full force and effect.

16. Restriction of Usage and Access to Website

Supreme Fincorp Private Limited may, without prior notice and under certain circumstances, restrict or limit the User’s access to the Website or its Services.
Such causes may include (but are not limited to):
  • Breach of this Agreement,
  • Legal or regulatory requests,
  • The User’s own request to withdraw consent or close an account.
Upon such restriction:
Supreme Fincorp Private Limited is under no obligation to retain or forward any data or messages to the User, any data stored by the User on the Website may become inaccessible.

17. Complaints

If the User has any grievance regarding:
  • Content uploaded on the Website,
  • Processing of information,
  • Use of the Website,
they may contact the Grievance Officer via the contact information provided on the Website or write to the official address.
Supreme Fincorp Private Limited will endeavor to address the grievance expeditiously, within timelines provided by applicable laws.

18. Force Majeure

Supreme Fincorp Private Limited shall not be liable for failure to perform any obligations or provide Services if such failure is due to a Force Majeure Event.
Force Majeure Event includes but is not limited to:
  • Acts of God,
  • Floods, earthquakes, fires, explosions,
  • War, riots, civil disturbances,
  • Acts of government,
  • Network failures or breaches,
  • Any other cause beyond reasonable control.
  • During such events, obligations are suspended for the duration of the event.

19. Governing Law

This Agreement shall be governed by the laws of India, without regard to its conflict of law principles.
In the event of any dispute arising under this Agreement, it shall be subject to the exclusive jurisdiction of the courts in New Delhi, India, provided, however, that Supreme Fincorp Private Limited may also initiate legal proceedings in any jurisdiction if it so deems appropriate.
